Terms and Conditions
Effective: October 26, 2026 · Last updated: October 26, 2026
1. About these terms
These Terms and Conditions ("Terms") govern your use of the STRATOVA website and the services we provide. STRATOVA ("STRATOVA", "we", "us", "our") is a social media marketing agency based in India.
- Business name: STRATOVA (operated by Koustabh Patra; not currently a registered company)
- Address: Nayagram, Jhargram, West Bengal, India, 721125
- Email: stratova26@gmail.com
- Phone: +91 7047749863
- Website: https://stratova.online
By using our website, requesting a free audit or hiring us, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use our website or services. If you hire us on behalf of a business, you confirm that you are authorised to bind that business.
2. Our services
We offer social media strategy, content creation, social media management and posting, influencer marketing, paid social advertising, community management, and analytics and reporting. The exact scope, deliverables, platforms and price for each client are set out in a written proposal, quotation or service agreement ("Service Agreement"). If anything in a Service Agreement conflicts with these Terms, the Service Agreement applies for that client.
Services not listed in your Service Agreement are out of scope. We can quote for extra work at your request.
3. Free social media audit
- The audit is free, and requesting it does not oblige you to buy anything.
- We prepare it from publicly available information and details you share with us, and we deliver it within about 48 hours of a complete request. Timing may vary with demand.
- The audit is a professional opinion at a point in time. It is not a guarantee of results, and platforms change.
- We may decline or limit audits, for example for spam, duplicate requests or businesses we cannot serve.
- The audit is for your own business use. Please do not resell or share it publicly as our work without permission.
4. Becoming a client
A client relationship begins when both parties accept a Service Agreement or you accept our written proposal and pay the first invoice or deposit. Until then, discussions and audits create no obligation on either side.
5. Fees and payment
- Fees: As stated in your Service Agreement. Fees are in Indian Rupees (INR). STRATOVA is not registered under GST law, so no GST is charged. If this changes, we will tell you in writing and any applicable tax will be added from the date it applies.
- Invoicing: We invoice monthly in advance. Invoices are due within 7 days unless the Service Agreement says otherwise.
- Late payment: We may pause work, withhold deliverables and charge interest of 1.5% per month on overdue amounts after giving written notice.
- Advertising spend: Money you spend with advertising and social platforms (such as Meta and LinkedIn) is separate from our fees. It is paid directly to the platform or held according to your Service Agreement, and is never part of our management fee.
- Third-party costs: Costs such as influencer fees, stock assets, licences, tools or production are billed as agreed in writing before we commit to them.
- Refunds: Fees for work already carried out are non-refundable. Where you have prepaid for work we have not done, we will refund the unused part as set out in the Service Agreement.
- Changes in price: We will give at least 30 days' written notice before changing fees for an ongoing engagement.
6. What we need from you
Our work depends on your cooperation. You agree to:
- Give us accurate information about your business, brand, products, offers and goals
- Provide access to the social media accounts, ad accounts and tools we need, using secure methods such as admin or partner access, never by sharing passwords where a safer option exists
- Review and approve content and campaigns within 2 business days. Delays may affect schedules and results.
- Make sure your products, services, claims and offers are lawful, accurate and not misleading
- Tell us promptly about complaints, legal issues, crises or major business changes that affect your social media
- Own or be properly licensed for everything you give us, such as logos, photos, music and text
7. Approvals and revisions
We share content and campaign plans for your approval before they go live, unless your Service Agreement says otherwise. Each deliverable includes two rounds of reasonable revisions. Extra revisions or major changes in direction may be charged. Once you approve content, you are responsible for how it appears, subject to our responsibility to deliver it as approved.
8. No guarantee of results
Social media performance depends on many things we do not control, including platform algorithms, policy changes, competitors, your product and pricing, market conditions and public response. We use professional skill and care and aim for the goals we agree, but we do not promise or guarantee any specific number of followers, views, leads, sales, revenue, rankings or return on ad spend. Any figures or examples we share are illustrations and not promises.
9. Intellectual property
- Your materials: You keep ownership of everything you give us, including your brand, logos, photos, product information and existing content. You grant us a limited licence to use these materials to deliver the services and, with your permission, to show the finished work.
- Our deliverables: Once you have paid in full, you own the final approved content we create specifically for you (such as designed posts, videos and written copy), except for third-party materials and our pre-existing tools described below.
- Our tools and methods: We keep ownership of our templates, frameworks, processes, strategies, know-how and any materials we created before or independently of your project. You may use them within your deliverables, but may not sell or reuse them as your own product.
- Third-party materials: Fonts, stock images, music, plug-ins and similar materials remain subject to their own licences, which we will tell you about where they limit your use.
- Portfolio: Unless you ask us not to in writing, we may display your name, logo and the public results of our work in our portfolio, case studies and marketing. We will not share your confidential business information without your consent.
- AI-assisted work: We may use software and AI tools to help with research, drafts, design or analysis. Our team reviews the work, and we remain responsible for what we deliver to you.
10. Influencers, creators and disclosure
Where we arrange influencer or creator partnerships, those creators are independent and not our employees. Their agreements, fees and usage rights are set out separately. Paid, gifted or affiliated content must carry clear disclosure as required by law and platform rules, and you agree not to ask us to publish undisclosed sponsored content.
11. Third-party platforms and tools
We rely on third-party platforms and tools such as Instagram, Facebook, LinkedIn and ad networks. These are run by others under their own terms, and they can change features, algorithms, pricing and policies, or suspend accounts, without notice. We are not responsible for platform outages, policy changes, account restrictions, rejected ads or lost reach caused by the platforms. You must keep your own accounts in line with platform rules.
12. Confidentiality
Each party will keep the other's non-public business information confidential, use it only for the purposes of the services, and protect it with reasonable care. This does not apply to information that is public, already known to the receiving party, independently developed or required to be disclosed by law. This obligation continues for 2 years after the engagement ends.
13. Data protection
We handle personal information as described in our Privacy Policy and in line with applicable law, including the Digital Personal Data Protection Act, 2023 of India. If we handle your customers' personal data for you, you remain responsible for having the right to share it with us, and we will use it only to deliver the services.
14. Website use
When you use our website, you agree not to:
- Break any law or infringe anyone's rights
- Submit false, misleading or someone else's information
- Attempt to access our systems without authority, probe for weaknesses, scrape the site automatically or disrupt it
- Upload malware or harmful code
- Copy, sell or reuse our website content, design, 3D assets or branding without written permission
We may restrict or end access if you breach these rules. The website and its content are provided "as is" for general information. We work to keep it accurate and available but do not promise it will be uninterrupted or error-free.
15. Term, pause and termination
- Term: An engagement runs for the period in the Service Agreement. Unless it says otherwise, it has a minimum term of 3 months and then renews monthly.
- Ending by notice: Either party may end an ongoing engagement with 30 days' written notice after the minimum term.
- Ending for cause: Either party may end the agreement immediately by written notice if the other materially breaches it and does not fix the problem within 14 days of being told, or becomes insolvent.
- What happens next: You pay for work done and approved costs committed up to the end date. We hand over completed deliverables you have paid for and return or remove access to your accounts. Terms that by nature should continue (payment, intellectual property, confidentiality, liability, governing law) will continue.
16. Limits on our liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, special or consequential losses, such as lost profit, lost revenue, lost goodwill or lost business opportunity.
- Our total liability for any claim arising from our services is limited to the fees you paid us for the three (3) months before the event that caused the claim.
- We are not liable for losses caused by platform changes, your content or instructions, delays in your approvals, information you gave us that was inaccurate, or events beyond our reasonable control.
Nothing in these Terms excludes liability that cannot be excluded by law, such as for fraud or wilful misconduct.
17. Indemnity
You agree to compensate us for losses, claims and reasonable costs arising from materials you provide that infringe others' rights, claims you make about your products or services that are unlawful or misleading, or your breach of these Terms or applicable law.
18. Force majeure
Neither party is responsible for delay or failure caused by events beyond its reasonable control, such as natural disasters, power or internet failures, platform outages, strikes, epidemics, government action or war. The affected party will tell the other promptly and resume as soon as practicable.
19. Governing law and disputes
These Terms and any dispute arising from them are governed by the laws of India. We encourage you to contact us first so we can try to resolve any concern informally. If we cannot resolve it within 30 days, the dispute will first be referred to mediation. If mediation does not resolve it, the courts at Kolkata, West Bengal, India have exclusive jurisdiction.
20. General
- Whole agreement: These Terms, our Privacy Policy and your Service Agreement are the whole agreement between us on this subject.
- Changes: We may update these Terms. For the website, the updated version applies from the date we publish it. For existing clients, material changes will apply after notice to you, and your Service Agreement terms will not change without both parties' written agreement.
- If one part fails: If any part of these Terms is found unenforceable, the rest stays in force.
- No waiver: Not enforcing a right does not mean giving it up.
- Assignment: You may not transfer your rights or duties under these Terms without our written consent. We may use subcontractors and freelancers, and remain responsible for their work.
- Independent parties: Nothing here makes either party a partner, employee or agent of the other.
- Notices: Notices must be in writing and sent by email to the address in the Service Agreement or on this page.
- Electronic acceptance: You may accept these Terms and agreements electronically.
